LICENCIA PROPIETARIA DE KYOHEI

IMPORTANTE - LEER CUIDADOSAMENTE: Este Acuerdo de Licencia de Software ("Acuerdo") es un acuerdo legal entre usted
(bien sea una persona individual o una entidad única) y Kyohei Ltda. ("Licenciante") para el uso del producto(s) de software
identificado(s) anteriormente, que pueden incluir software asociado, medios y documentación "en línea" o electrónica ("Software").
Al instalar, copiar o usar el Software, usted acepta estar sujeto a los términos y condiciones de este Acuerdo.
Si no está de acuerdo con los términos de este Acuerdo, no instale ni use el Software.

CONCESIÓN DE LICENCIA. El Licenciante le concede una licencia no exclusiva y no transferible para utilizar el Software,
sujeta a los términos y condiciones de este Acuerdo. Esta licencia está limitada al número de usuarios y/o instalaciones
especificado en su orden de compra o factura. Usted no puede copiar o distribuir el Software, total o parcialmente,
sin el previo consentimiento por escrito del Licenciante.

RESTRICCIONES. Usted no puede:

a) Copiar el Software, excepto para fines de copia de seguridad o archivado.
b) Vender, alquilar, arrendar, sublicenciar, transferir o distribuir el Software a ningún tercero.
c) Modificar, adaptar, traducir, descompilar, desensamblar o intentar de cualquier otra forma descubrir el código fuente
del Software, excepto en la medida en que dicha actividad esté expresamente permitida por la ley aplicable.
d) Eliminar, alterar u oscurecer cualquier aviso o etiqueta de propiedad en el Software.
e) Usar el Software para cualquier propósito ilícito o de cualquier manera que pueda dañar, desactivar, sobrecargar
o afectar adversamente los servidores o redes del Licenciante.

PROPIEDAD. El Software es propiedad del Licenciante o de sus proveedores y está protegido por las leyes de propiedad
intelectual y los tratados internacionales. El Licenciante retiene todos los derechos, títulos e intereses en y sobre
el Software, incluidos todos los derechos de propiedad intelectual.

RENUNCIA DE GARANTÍA. El Software se proporciona "TAL CUAL" sin garantía de ningún tipo, ya sea expresa o implícita,
incluyendo, pero no limitado a, las garantías implícitas de comerciabilidad y aptitud para un propósito particular.
El Licenciante no garantiza que el Software satisfaga sus requisitos o que el funcionamiento del Software sea ininterrumpido
o libre de errores. El Licenciante no será responsable por ningún daño directo, indirecto, incidental, especial o consecuente
que surja del uso o la imposibilidad de usar el Software, incluso si el Licenciante ha sido informado de la posibilidad de
tales daños.

TERMINACIÓN. Este Acuerdo es efectivo hasta que sea terminado por cualquiera de las partes. Usted puede terminar este
Acuerdo en cualquier momento destruyendo todas las copias del Software. El Licenciante puede terminar este Acuerdo inmediatamente
si usted incumple alguna de las disposiciones de este Acuerdo. Al finalizar, deberá destruir todas las copias del Software.

INHABILITACIÓN DEL SOFTWARE. El Licenciante puede, a su discreción, inhabilitar el Software o cualquier parte de éste, sin previo aviso,
en el caso de que el Licenciante determine, a su exclusivo criterio, que ha incumplido alguna disposición de este Acuerdo.
El Licenciante no tendrá responsabilidad alguna hacia usted o cualquier tercero por los daños o pérdidas incurridas por usted
o cualquier tercero como resultado de tal inhabilitación.

SERVIDORES EXTERNOS. El Software puede requerir el uso de servidores externos proporcionados por el Licenciante para acceder a
ciertas características o servicios. Su uso de estas características o servicios está sujeto a los términos y condiciones de
cualquier acuerdo separado entre usted y el Licenciante, incluyendo cualquier política de privacidad aplicable, acuerdos de
procesamiento de datos o acuerdos de nivel de servicio. El Licenciante puede modificar, suspender o terminar cualquiera o todos
estos servicios o características en cualquier momento, con o sin previo aviso, a su exclusivo criterio.

DATOS DE MARKETING. Al instalar, copiar o utilizar de otra manera el Software, usted acepta que el Licenciante pueda obtener y procesar datos
sobre usted, sus socios y su uso del Software con fines de marketing, incluyendo el nombre de la empresa, nombre, dirección de correo electrónico,
números de teléfono o celular, razón social y NIT. El Licenciante podrá utilizar estos datos para enviarle información sobre productos y servicios.

GENERAL. Este Acuerdo será gobernado e interpretado de acuerdo con las leyes de la jurisdicción en la que se encuentra el Licenciante.
Este Acuerdo constituye el acuerdo completo entre usted y el Licenciante con respecto al Software y reemplaza todas las comunicaciones
y propuestas anteriores o contemporáneas, ya sean orales o escritas, entre usted y el Licenciante. Si alguna disposición de este Acuerdo
se considera nula, inválida, inaplicable o ilegal, las demás disposiciones seguirán en plena vigencia y efecto. El incumplimiento de alguna
de las partes de hacer cumplir alguna disposición de este Acuerdo no constituirá ni se interpretará como una renuncia a dicha disposición o al
derecho de hacer cumplir dicha disposición.

KYOHEI PROPIETARY LICENSE

IMPORTANT - READ CAREFULLY: This Software License Agreement ("Agreement") is a legal agreement between you
(either an individual or a single entity) and Kyohei Ltda. ("Licensor") for the use of the software product(s)
identified above which may include associated software, media, and "online" or electronic documentation ("Software").
By installing, copying, or using the Software, you agree to be bound by the terms and conditions of this Agreement.
If you do not agree to the terms of this Agreement, do not install or use the Software.

LICENSE GRANT. Licensor grants you a non-exclusive, non-transferable license to use the Software, subject to the terms
and conditions of this Agreement. This license is limited to the number of users and/or installations specified in your
purchase order or invoice. You may not copy or distribute the Software, in whole or in part, without the prior written
consent of Licensor.

RESTRICTIONS. You may not:

a) Copy the Software, except for backup or archival purposes.
b) Sell, rent, lease, sublicense, or otherwise transfer or distribute the Software to any third party.
c) Modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code
of the Software, except to the extent that such activity is expressly permitted by applicable law.
d) Remove, alter or obscure any proprietary notices or labels on the Software.
e) Use the Software for any unlawful purpose or in any manner that could damage, disable, overburden or impair the
Licensor's servers or networks.

OWNERSHIP. The Software is owned by Licensor or its suppliers and is protected by copyright laws and international
treaty provisions. Licensor retains all rights, title and interest in and to the Software, including all intellectual
property rights.

DISCLAIMER OF WARRANTY. The Software is provided "AS IS" without warranty of any kind, either express or implied,
including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
Licensor does not warrant that the Software will meet your requirements or that the operation of the Software will be
uninterrupted or error-free. Licensor shall not be liable for any direct, indirect, incidental, special, or
consequential damages arising out of the use of or inability to use the Software, even if Licensor has been advised of
the possibility of such damages.

TERMINATION. This Agreement is effective until terminated by either party. You may terminate this Agreement at any time
by destroying all copies of the Software. Licensor may terminate this Agreement immediately if you breach any provision
of this Agreement. Upon termination, you must destroy all copies of the Software.

DISABLEMENT OF THE SOFTWARE. Licensor may, at its discretion, disable the Software or any part thereof, without notice,
in the event that Licensor determines, in its sole discretion, that you have breached any provision of this Agreement.
Licensor shall have no liability to you or any third party for any damages or losses incurred by you or any third party
as a result of such disablement.

EXTERNAL SERVERS. The Software may require the use of external servers provided by Licensor to access certain features
or services. Your use of these features or services is subject to the terms and conditions of any separate agreement
between you and Licensor, including any applicable privacy policies, data processing agreements, or service level
agreements. Licensor may modify, suspend or terminate any or all of these features or services at any time, with or
without notice, in its sole discretion.

MARKETING DATA. By installing, copying, or otherwise using the Software, you agree that Licensor may obtain and process
data about you, your partners and your use of the Software for marketing purposes, including Company name, Name,
Email address, Phone or Cellphone numbers, Razón social and NIT. The Licensor may use this data to send you information about products and services.

GENERAL. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which
Licensor is located. This Agreement constitutes the entire agreement between you and Licensor with respect to the
Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you
and Licensor. If any provision of this Agreement is held to be void, invalid, unenforceable or illegal, the other
provisions shall continue in full force and effect. Failure of either party to enforce any provision of this Agreement
shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision.
