Oduist Proprietary License v1.1 Copyright (C) 2024-2026 Oduist (https://oduist.com) 1. DEFINITIONS "Authors" means Oduist OÜ, the original creators and copyright holders of the Software. "Software" means the source code, object code, modules, and associated files provided by the Authors, including any modifications or "inherit" modules that rely on the original code. "Instance" means a single, specific Odoo database installation, uniquely identified by its Instance UID generated by the Software upon installation. "User" means the individual or legal entity that installs and uses the Software. "Authorized Agents" means third-party developers, Odoo Partners, freelancers, or AI-assisted tools acting on behalf of the User to configure or modify the Software for the User's internal business needs. "Trial Period" means a period of thirty (30) calendar days starting from the initial installation of the Software on a specific Instance. 2. LICENSE GRANT (a) Trial Use The Software is made publicly available for download and evaluation. Upon installation, the User is granted a temporary, non-exclusive right to use the Software for a Trial Period of 30 days to evaluate its functionality. (b) Commercial Use To continue using the Software after the Trial Period, the User must purchase a valid license through the Software's built-in license management interface. (c) Perpetual & Irrevocable Status Once a valid license is purchased, the grant is perpetual and irrevocable, subject to compliance with the terms of this agreement. The license is strictly tied to the Odoo Instance in which it was purchased. 3. MODIFICATIONS AND CONTRACTORS The User is granted the right to: Modify the Software: Make any changes to the source code for their own internal business purposes. Use External Help: Employ Authorized Agents (Freelancers, Partners, or AI) to modify or improve the Software, provided the work is performed solely for the User's Instance. Develop Add-ons: Create new Odoo modules that inherit from or extend the Software (_inherit or XML inheritance), provided these are used only within the User's authorized Instance. 4. RESTRICTIONS It is strictly forbidden to: Redistribute: Publish, sell, sublicense, rent, or lease the Software or any modified versions (including "inherit" modules) to any third party. Circumvent Protection: Modify, remove, or bypass any code responsible for license validation, Instance UUID checks, or Trial Period enforcement. SaaS: Offer the Software as a service (SaaS) or part of a hosted package to third parties without a separate written agreement from the Authors. Create Competing Products: Use the Software's logic or code to create a standalone product intended for public distribution or sale. 5. SOURCE AVAILABILITY & FORKING The public availability of the source code (e.g., on GitHub) is for transparency and ease of installation only. Forking: Creating a "fork" of the repository is permitted under the platform's technical terms, but it does not grant any rights to use, modify, or distribute the Software beyond the Trial Period or a valid paid license. Public Modifications: Any public fork containing modifications that bypass license checks or facilitate unauthorized distribution is a violation of this license and applicable copyright law. 6. INTELLECTUAL PROPERTY The Software remains the exclusive property of the Authors. This license provides a right to use, not a transfer of ownership. All rights not expressly granted are reserved. 7. TERMINATION This license remains in effect as long as the User complies with its terms. Automatic Termination: The license will terminate immediately if the User violates the Restrictions (Section 4), specifically regarding unauthorized redistribution or bypassing technical protections. No Arbitrary Revocation: The Authors waive the right to revoke a paid license at-will, provided the User is not in breach of this agreement. 8. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL THE AUTHORS BE LIABLE FOR ANY DAMAGES, CLAIMS, OR LOSSES ARISING FROM THE USE OF THE SOFTWARE. 9. GOVERNING LAW This license shall be governed by the laws of the jurisdiction where the Authors' principal place of business is located. Any disputes shall be settled in the courts of that jurisdiction.
