Free Upgrade to new odoo version ?
No, you will have to purchase the theme for the new Odoo version. As per the new policy of Odoo, starting from version 13.0, every version of the module is to be bought separately.

The cost of migrating a theme, is not included into purchased module of Butterfly. It will considered as a separate service with additional charges.
Can I resell or distribute the theme?
No! You can not resell or distribute this theme. This theme can only be used in your Odoo system.

How to Install Butterfly 
Backend Theme

Thank you for choosing our theme! You are here because you loved our theme, and we hope you enjoy using it as much as we enjoyed creating it.
In this guide, we'll walk you through the steps to install our backend theme in Odoo.
Step 1: Download the Theme
After purchasing the theme, Odoo will provide you with a download link. Click on that link to download the theme to your PC.
Step 2: Upload the Theme to Your Odoo Server
- Extract the downloaded ZIP file.
- Copy the content of the folder "Modules" inside your addons path.
Step 3: Update the App List
Update the App List: Click on the Update Apps List button to refresh the list of available modules. This will include your newly uploaded theme.
Step 4: Install the Theme
- Search for the Theme: In the Apps menu, search for the name of the theme
- Install the Theme: Click on the
Installbutton next to the theme. Odoo will automatically install the theme and make it available for use.

In order to make it work on enterprise edition, we have to develop another module that work on web_enterprise and other enterprise modules like odoo_studio.
